夏暉冷凍配送服務理賠規則HAVI Refrigerated Delivery Service Claim Rules

您作為託運人特同意以下冷凍配送服務理賠規則(“本規則”):

You, as the Consigner, hereby agree to the following Refrigerated Delivery Service Claim Rules (the “Rules”): 


1.

對於託運人使用夏暉提供的冷凍配送服務,託運人同意以本理賠協議作為夏暉每次提供冷凍配送 服務時使用之運單條款的補充條款,且如本規則與運單條款有任何抵觸或不一致之處,均以本 規則為準。如本規則未有提及的條款,則以運單條款為準。託運人應在閱讀運單條款和條件時 與此規則一同閱讀。

The Consigner agrees that the Rules supplements the Waybill/Consignment Note Terms and Conditions which is applied to the Refrigerated Delivery Service provided by HAVI to Consigner. For any conflict or inconsistency between the Rules and the Waybill/ Consignment Note Terms and Conditions, the Rules shall prevail. In case of any terms and conditions not included in the Rules, the Waybill/Consignment Note Terms and Conditions shall prevail. The Consigner should always read the said Waybill/Consignment Note Terms and Conditions in conjunction with the Rules. 


2.

SHOPLINE及夏暉乃根據運單條款及本規則,對託運人提供冷凍配送服務。SHOPLINE及夏暉可隨時保留、添加、修改、 或取消任何標準條款及條件的權利,而不需要向託運人作出任何通知。

SHOPLINE and HAVI agrees to provide the Refrigerated Delivery Service to Consigner subject to the Waybill/Consignment Note Terms and Conditions and the Rules. SHOPLINE and HAVI reserve the right to add, modify or remove any standard terms and conditions without prior notice to Consigner. 


3.

客戶的義務 Consigner’s Obligations  


3.1

託運人須確保運送物品妥善裝入適用於運送物品性質及重量的箱子、包裝物或容器內,以使運 送物品完整無缺,並確保內外包裝完好,在運送過程中不會出現撕裂或損壞、封口破損或兩個 黏合面撕開的情況。

Consigner shall ensure that the delivery item is packed in a box, wrapper or container which is suitable to the nature and weight of the delivery item to against damage. Consigner shall also ensure the internal and external packages will not be torn or broken, any seal will not be broken or two adhesive surfaces will not be forced apart during delivery. 


3.2

託運人須因應運送物品的性質及重量確保運送物品適當地包裝於一個有足夠保護力和強度的 盒子或容器,以保護它在合理的搬運過程中免受損傷。 

Consigner shall ensure that the delivery item is properly packed in a box or container with sufficient durability and strength so as to protect it against damage during delivery.


4.

夏暉檢驗運送物品的權利.  HAVI’s Right to Inspect Contents 


如有需要,夏暉有權就運輸物品的安全性及合法性原因隨時拆開並查看運送物品容納的東西,包括 但不限於核實運送物品容納的東西。如經拆開及查看後,發現運送物品容納的東西的描述及申報經 核實屬失實或具誤導性,或因其他任何原因夏暉認為未能安全地運送物品,如有需要,夏暉有權在 不需向託運人交代原因下拒絕接受此運送物品,或者可以根據所發現的運送物品內容修訂其運輸費用。 

If necessary, HAVI may at any time, in its absolute and sole discretion, open and inspect the contents of the delivery item for safety or legal reason whatsoever including but not limit to the verification of the contents of the delivery item. Upon such opening and inspection, if the description and declaration of the contents of the delivery item is verified as being incorrect or misleading, or in the event that HAVI declares the safety of the delivery item cannot be ensured during delivery, while necessary, HAVI may, in its absolute and sole discretion, refuse to accept such delivery item without giving any reason to Consigner or it may revise the shipment charges applicable to the contents discovered.


5.

派送日期 Delivery Date

5.1

託運人明白及同意夏暉因實際情況無法於運單上參考的派送時段內完成派送,SHOPLINE或夏暉不會對任何 因延誤導致的損害和損失負法律責任和賠償,包括但不限於因延誤導致的食品變質。 

Consigner shall understand and agree that HAVI may not guarantee to deliver the delivery item to the addressee according to the preferred delivery date and preferred time zone as indicated by Consigner on the waybill/consignment note. SHOPLINE or HAVI is not liable for any damage or loss caused by such delay, including but not limited to food spoilage. 


5.2

如指定收貨人拒絕接收運送物品或拒絕支付費用,夏暉將在派送失敗後通知託運人,並向託運 人尋求貨品處理的指示(所有有關的費用將會由託運人負責),但夏暉保留因任何理由拒絕接 受託運人該指示的權利。 

In the event that the named addressee refuses to receive the delivery item or refuses to pay the fees, HAVI will notify Consigner of the delivery failure and seek the instructions for the appropriate action to be taken (and such costs will be forthwith reimbursed by Consigner). However, HAVI reserves the right to decline to accept further instructions from Consigner for any reason whatsoever.  


5.3

如託運人未能在夏暉通知派送失敗後提供恰當的指示,夏暉可酌情決定如何處置運送物品(所 有有關的費用將會由託運人負責)。如夏暉發現運送物品為易損毀的物品或在其他情況下會變 質,夏暉有權立即自行決定處置該物品的方法。託運人同意SHOPLINE和夏暉不會因本條款引申的任何損失 付上責任和賠償。 

In the event that Consigner does not provide instructions regarding the appropriate action to be taken, the delivery item may be disposed of by HAVI at its sole discretion (and such costs will be forthwith reimbursed by Consigner). In the event that the contents of the delivery item are found by HAVI to be perishable or otherwise susceptible to changes in quality, HAVI has the right and sole discretion to immediately dispose of the item. Consigner agrees SHOPLINE and HAVI are not liable for any damage or loss as an extension to this term.  


6.

損失或損害  Loss or Damage  

6.1

託運人在此聲明並擔保將自行承擔冷凍配送服務運送的物品蒙受損失或損害的風險。如有任何 第三方就該等損失或損害而向夏暉或SHOPLINE提出索償時,託運人承諾於法律上維護和彌償夏暉及SHOPLINE,包括順 豐和SHOPLINE各自之董事、經理人、僱員、代表及代理人因此而所承受的任何損失和費用。

Consigner hereby irrevocably covenants and undertakes that it will assume all risks of loss or damage of the shipments under the Refrigerated Delivery Service. In the event of any claims which might be brought by any third parties against HAVI or SHOPLINE in respect of the damage or loss of the shipment, Consigner undertakes to keep indemnified defend and hold harmless to HAVI, SHOPLINE, their respective directors, officers, employees, representatives and agents, from and against any claim which might be brought by the legal or equitable owner of the shipments.  


6.2

如夏暉發現運送的物品蒙受損失或損害,夏暉將在發現該等損失或損害起計的合理期間內通知 託運人,並向託運人尋求恰當行動的指示。如託運人未能在合理期間內提供指示,夏暉將對運 送物品採取其認為恰當的行動,例如重新安排送貨、退貨給託運人或暫存運送物品。但所有有 關的費用則由託運人支付。 

In the event that HAVI discovers loss or damage of the delivery item, HAVI will notify Consigner of such loss or damage within a reasonable period and shall seek instructions from Consigner with respect to the appropriate action to be taken. If Consigner does not provide further instructions regarding the appropriate action to be taken within a reasonable period of HAVI’s notification, HAVI has the right to take such action in relation to the delivery item as it deems appropriate, such as re-delivery of the delivery item to Consigner, return of the delivery item to Consigner or retention of the delivery item, and such costs will be forthwith reimbursed by Consigner. 


6.3

託運人明白和同意夏暉提供的冷凍配送服務只提供三類的貯存溫度,即(i)-18至-15oC; (ii) 0至4 o C;和(iii)17至20 o C。SHOPLINE或夏暉並不負責任何因託運人於托運運送物品時錯誤地申報貯存溫 度或在任何時間錯誤地指示夏暉運送物的貯存溫度而對運送物產生的損失、損害或第三方的索 賠。託運人應維護和彌償夏暉和SHOPLINE因第三方的索賠而所承受的任何損失和費用。

For the Refrigerated Delivery Service, Consigner hereby agrees and acknowledges that HAVI provides 3 types of storage temperature, (i) -18 to -15 oC (ii) 0 to 4oC (iii) 17 to 22 oC. SHOPLINE and HAVI shall not be liable to for any loss, damage or claims from any third parties in connection with falsely declaration on storage temperature by Consigner. Consigner shall keep indemnified defend and hold harmless to HAVI and SHOPLINE against any claim which might be brought by any third parties in respect of the damage or loss of the shipment. 

6.4

託運人有需要時,應自行為託寄物購買保險。

Consigner shall make its own insurance arrangement for the shipment(s) where deems necessary.  


7.

夏暉的法律責任  HAVI’s Liability  

7.1

託運人明白和同意不會對SHOPLINE及夏暉因下列或與之相關的情況所招致的損失或損害作任何法律追討: 

Consigner hereby agrees and acknowledges to exempt SHOPLINE and HAVI from claim and legal liability regarding the following damage or loss: 


7.1.1

任何第三方的任何行為或疏忽,包括但不限於,託運人、指定接收人、或任何政府官員; 

Any acts or omissions of any third parties, including but not limit to Consigner, the named addressee or any government official; 


7.1.2

運送物品磨損及破裂、擺放錯亂、發熱、發黴、腐爛、變色、變質、爆炸、易燃,或其中含 有危險、易腐壞、易腐爛、易碎或易裂性物質; 

The wear and tear, de-arrangement, heat, mold, rot, dis-coloration, degeneration, explosion, ignition or the hazardous, perishable, corruptible, fragile, or brittle nature of the contents of the delivery item;

託運人未能針對託運單等上所指的運送物品採取任何特定的預防措施;或 

Consigner’s failure to specify any special precautions to be taken in respect of a delivery item on the Waybill/Consignment Note; or 


7.1.3

交付禁寄的物品(SHOPLINE或夏暉並不知運送物品的內含物包含或包括該等物品)。 

The delivery of any of the items that HAVI may decline to deliver (where SHOPLINE or HAVI was not aware that the contents of a delivery item comprised or included such item). 

7.2

SHOPLINE和夏暉概不對間接或相應損失或損害承擔責任,包括但不限於利潤、收入、權益、未來業務或預 期存款的損失,即使SHOPLINE和夏暉在接收運送物品之前或之後知悉該等損失或損害的風險亦然。 

HAVI shall not be liable for indirect or consequential loss or damage, including without limitation loss of profit, income, interest, future business or anticipated savings, even if the risk of such loss or damage was brought to HAVI’s attention before or after acceptance of the delivery item.  


8.

申索 Claims

8.1

須在夏暉接受交付運送物品之日起計7個工作天內就運送物品之受損和/或損失提出任何申 索,如未在該期間提出申索,SHOPLINE和夏暉有權對該申索視為過期申索且不受理。 

Any claims for damage to and/or loss of the delivery item must be made within 7 days from the date HAVI accepts for the delivery item for delivery. After the expiry of the prescribed time limit, SHOPLINE and HAVI shall have no liability whatsoever. 


8.2

每件運送物品只限提起一次申索,申索之解決須為與之相關的一切損失或損害的完全及最終解決。 

Claims are limited to one claim per delivery item, settlement shall be a complete and final settlement for all loss or damage in connection therewith. 

8.3

運送物品遭受的任何損失的法律責任將僅限於運單條款定名的賠償上限(“賠償 限額”)。 

Any liability for any loss of the delivery item shall be limited to the compensation limits on the Waybill/Consignment Note (“Compensation Limits”). 


8.4

如因夏暉的原因令運送物品受損,賠償金額須基於夏暉自行對損害程 值所作的評估釐定,惟賠償金額不得超過賠償限額。 

In the case of damage to the delivery item subjected to HAVI’s responsibility, the amount of compensation shall be based on HAVI’s own assessment of the damage to or the actual value of the delivery item. The amount of compensation shall not exceed the compensation limits.  


9.

彌償  Consigner’s Warranties and Indemnity 


託運人須保證及負責所有第三方向SHOPLINE和夏暉的索求、申索、訴訟、法律程序、成本、費用或開支的彌償, 包括但不限於SHOPLINE和夏暉就有關冷凍配送服務所招致、遭受或蒙受的罰款、貯存費用、回收及管理費、稅 項及稅務。

Consigner shall keep SHOPLINE and HAVI indemnified against all demands, claims, action, proceedings, costs, charges or expenses including but not limited to penalties, storage charges, retrieval and administrative costs, duties and taxes incurred, suffered or sustained by SHOPLINE and HAVI in connection 

10.

個人資料(私隱)政策    Personal Data (Privacy) Policy 


當簽訂託運單等時,託運人將批准SHOPLINE和夏暉使用託運人的個人資料作所有合法的目的,包括但不限於在 有需要的情況下SHOPLINE和夏暉向任何政府/或監管機構透露託運人的個人資料。 

By signing of the waybill/consignment note etc., Consigner shall authorize SHOPLINE and HAVI to use your personal data for all lawful purpose including but not limited to disclosure of your personal data by SHOPLINE and HAVI to any government and/or regulatory authority. 


11.

管轄法律    Governing Law 


本規則受香港法律解釋和管轄 

The Rules shall be interpreted and governed by the laws of HKSAR. 



11.1

凡因本規則所引起的或與之相關的任何爭議、糾紛、分歧或索賠,包括合同的存在、效力、解 釋、履行、違反或終止,或因本規則引起的或與之相關的任何非合同性爭議,均應提交由香港 國際仲裁中心管理的機構仲裁,並按照提交仲裁通知時有效的並經《香港國際仲裁中心國際仲 裁管理程序》修訂的《聯合國國際貿易法委員會仲裁規則》最終解決; 

Any dispute, controversy, difference or claim arising out of or relating to this Rule, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the UNCITRAL Arbitration Rules in force when the Notice of Arbitration is submitted, as modified by the HKIAC Procedures for the Administration of International Arbitration; 

11.2

本仲裁條款適用的法律為香港法; 

The law of this arbitration clause shall be Hong Kong law; 


11.3

仲裁地應為香港; 

The place of arbitration shall be Hong Kong;

11.4

仲裁員人數為一名。仲裁程序應按照(粵語/英語)來進行。 

The number of arbitrators shall be one. The arbitration proceedings shall be conducted in Chinese / English. 


本規則條款及細則之中英文版本如有任何歧義之處,一概以中文版本為準。 

In case of any discrepancy between the English and Chinese versions of the terms and conditions of the Rules, the Chinese version shall prevail.

有關售賣限制出售食物許可證事宜 Restricted Food Permits


感謝 貴公司選用夏暉物流的服務。為進一步保障食物安全,食物環境衛生署(食環署)已擬備規管售賣限制出售食物的許可證 (i),針對售賣《食物業規例》(第 132X 章)附表 2 所指明限制出售的食物(限制食物詳情請參考後頁)的經營者(包括實體店經營者及網店經營者),許可證已由二零一六年起供業界申領,欲申請者應向食環署提交申請書辦理手續。

Thank you for choosing HAVI Logistics. To further safeguard food safety, the Food and Environmental Hygiene Department (FEHD) has prepared a new set of permits to regulate the operators who sells restricted foods specified in Schedule 2 of the Food Business Regulation (Cap. 132X) (Please refer to Note (i)). The permit has been opened for application since 2016. To apply for a restricted food permit relevant to the proposed food business, the applicant should submit an application form to FEHD for necessary action.

1. 有關於限制出售食物提供者和與限制出售食物提供者所提供的交易內容、限制出售食物處理、服務以及在網頁上所提供的個人資料和限制出售食物內容等的真偽、正確性、可靠性、合法性以及有無侵害第三者權利的事項等的情報, SHOPLINE及夏暉物流一概不負任何相關責任。

SHOPLINE and HAVI Logistics shall not be responsible for the truthfulness, accuracy, reliability, or legality of the information provided by the supplier, the transaction conducted by the supplier, the restricted foods sold, the service and the information on the website as well as the personal information of the supplier, or whether they infringe the rights of any third party.


2. 若食環署需要任何有關限制出售食物入口證或售賣許可證,請各客戶自行負責所有相關事項及責任, SHOPLINE及夏暉物流一概不負任何相關責任。

If the FEHD requires an import license or other permit for sale of the restricted foods, it is your responsibility to obtain such a license or permit at your own expense, SHOPLINE and HAVI Logistics will not accept any liability, obligation or responsibility whatsoever for any transaction made without the necessary license.

附註:

售賣限制出售食物許可證

非獲得食環署署長書面准許,否則任何人不得將《食物業規例》

( 第 132X 章 ) 附表 2 所指明的食物售賣、要約出售或為出售而

展示,或管有這些食物以供出售或以供配製成供出售用的食品。

如食物業出售下列限制出售的食物,必須向食環署署長申領售賣

限制出售食物許可證:


1. 非瓶裝飲料

2. 冰凍甜點

3. 奶類及奶類飲品

4. 切開的水果

5. 涼茶

6. 涼粉

7. 壽司

8. 刺身

9. 供不經烹煮而食用的蠔

10. 供不經烹煮而食用的肉類

11. 活魚

12. 介貝類水產動物

13. 介貝類水產動物(大閘蟹)

14. 以售賣機出售的食物

15. 網上售賣預先包裝冷凍(冰鮮)及冷藏肉類(如牛肉、豬肉

及羊肉)

16. 網上售賣預先包裝壽司及刺身

17. 網上售賣預先包裝供不經烹煮而食用的蠔

18. 網上售賣預先包裝冷凍(冰鮮)及冷藏介貝類水產動物

19. 網上售賣原廠盛杯及包裹物料包裝的冰凍甜點

20. 網上售賣介貝類水產動物(大閘蟹)

21. 網上售賣其他預先包裝的受限制食物


在申請較常見的售賣限制出售食物許可證,如非瓶裝飲料許可證、冰凍甜點許可證、牛奶許可證和網上受限制食物許可證前, 申請人應參考下列各點:


非瓶裝飲料 

非瓶裝飲料是指那些調製供即時飲用 ,無須盛於密封瓶、罐或其他容器的飲品,例如鮮果汁、以濃縮果汁或糖漿稀釋的飲品、豆漿等。由人手操作的調配分售機出售的飲品,亦屬此一類別。如非瓶裝飲料是由角子自動售賣機出售,則須另行申

領自動售賣機許可證。


冰凍甜點

店鋪如已領有售賣冰凍甜點的冰凍甜點許可證,若在店內裝設軟雪糕製造機,須另行申領冰凍甜點製造廠牌照,才可使

用軟雪糕製造機製造軟雪糕。


奶類飲品

如出售以密封容器盛載而經食環署批准的消毒牛奶或消毒奶類飲品,無須申領牛奶許可證。


網上售賣受限制食物

所有透過網站或網上平台帳戶售賣或要約出售的受限制食物,須由認可供應商預製、預先包裝和供應。經營網上售賣的處所不可用作貯存、處理 (如切割、切片、包裝或包裹等)、配製受限制食物等,否則須按《食物業規例》申領相關的售賣限制出售食物許可證或食物業牌照。如售賣不同類的受限制食物,須就各類受限制食物分別申領許可證。

Notes :

Restricted Food Permits

Save with the permission of DFEH, no person shall sell, or offer or expose for sale, or possess for sale or for use in the preparation of any article of food for sale, any of the foods specified in Schedule 2 of the Food Business Regulation (Cap. 132X). In this connection, a restricted food permit must be obtained from DFEH for the food business which involves the sale of any of the restricted foods such as the following:


1. non-bottled drinks

2. frozen confections

3. milk and milk beverages

4. cut fruit

5. Chinese herb tea

6. leung fan

7. sushi

8. sashimi

9. oysters to be eaten in raw state

10. meat to be eaten in raw state

11. live fish

12. shell fish

13. shell fish (hairy crab)

14. food sold by means of a vending machine

15. online sale of pre-packaged chilled and frozen meat (such as

beef, pork and mutton)

16. online sale of pre-packaged sushi and sashimi

17. online sale of pre-packaged oysters to be eaten in raw state

18. online sale of pre-packaged chilled and frozen shell fish

19. online sale of frozen confections in original cups and wrappers

20. online sale of shell fish (hairy crab)

21. online sale of other types of pre-packaged restricted foods


Before making an application for the more common type of restricted food permits such as non-bottled drinks permit, frozen confections permit, milk permit and online restricted food permit, the applicant should note the following for reference:


Non-bottled drinks

Non-bottled drinks are those drinks prepared for immediate consumption and do not require storage in sealed bottles, cans or other containers, for example, fresh fruit juice, diluted drinks prepared from concentrated fruit juice or syrup, soya bean juice, etc. Drinks sold from a manual dispensing machine also belong to this category. However, if non-bottled drinks are sold by a coin-operated automatic vending machine, a permit for such machine shall have to be applied for separately.


Frozen confections

If a machine for the manufacture of soft ice cream is installed in a shop which is issued with a frozen confection permit for selling frozen confections, a separate frozen confection factory licence for the manufacture of soft ice cream from the soft ice cream machine is also required.


Milk

A milk permit is not required for the sale in sealed containers of sterilized milk or sterilized milk beverage which have been approved by the DFEH.


Online Sale of Restricted food

All restricted foods for sale or offered for sale on website or online platform account shall be pre-prepared, pre-packaged and supplied by approved suppliers. No storage, handling (such as cutting up, slicing, packing or wrapping, etc.) or preparation of restricted foods

shall be conducted at the place where the online sale business is

conducted. Otherwise, a relevant restricted food permit or an

appropriate food business licence may be required under Food

Business Regulation. If different types of restricted foods are offered

for sale online, each type of restricted food should be covered by a

separate permit.
